    Contenuti

    Il corso di Diritto Privato è volto a consentire agli studenti l’apprendimento delle fondamentali nozioni del diritto privato, ossia gli istituti che regolano i rapporti tra i privati e tra i privati e P.A. nei casi in cui quest'ultima agisca come soggetto privato e senza l'esercizio dei poteri autoritativi che le sono propri.
    La conoscenza degli istituti fondamentali del Diritto Privato ha il fine di consentire l'acquisizione degli strumenti necessari per interpretare i testi di legge e comprendere i meccanismi che governano il ragionamento giuridico. Particolare attenzione sarà posta al diritto delle obbligazioni e dei contratti, determinanti istituti nella formazione sia del professionista con funzioni di gestione nell’ambito pubblico e privato sia di coloro che, volendo proseguire gli studi, intendano acquisire competenze per lo svolgimento dell'attività di revisori contabili, dottori commercialisti e professionisti di impresa. Centrale, quindi, il ruolo della circolazione giuridica e degli strumenti mortis causa e inter vivos ai quali l'ordinamento affida la produzione e lo scambio di beni e servizi.

    Capacità trasversali
    - Autonomia di giudizio: intesa come capacità di collegare le nozioni teoriche − apprese a lezione e per mezzo degli altri strumenti didattici – alla realtà quotidiana, riconoscendo il ruolo delle regole giuridiche nel disciplinare la convivenza civile e la soluzione dei conflitti
    - Abilità comunicative: si insiste sulla necessità di porre la massima attenzione sull’acquisizione del linguaggio tecnico-giuridico e sull’utilizzo corretto della lingua italiana
    - Capacità di apprendimento: è necessario che lo studente utilizzi tutti gli strumenti didattici messi a sua disposizione – lezioni frontali, manualistica, testi normativi, colloqui con il docente negli orari di ricevimento – al fine di acquisire una corretta metodica di inquadramento giuridico dei fatti della vita reale.

    Prerequisiti

    Non sono previste propedeuticità, né particolari prerequisiti.

    Metodologie didattiche

    La didattica si basa sulla seguente articolazione:
    I. Lezioni frontali (70 ore)
    - Le lezioni di 2 ore ciascuna sono partecipate ed articolate con il coinvolgimento degli studenti; gli studenti, infatti, sono invitati a partecipare alla discussione con autonomia di giudizio, esprimendo idee, formulando domande, presentando esempi. La suddetta modalità è da preferirsi dal punto di vista didattico perché impegna lo studente attivamente sin dalla partecipazione alla lezione frontale, stimolando l’interazione e la riflessione.

    II. Esercitazioni (20 ore)
    - Simulazioni, gruppi di lavoro e case study: gli studenti sono divisi in gruppi e affrontano un case study, sotto forma di testo consegnato dal docente, nel quale sono illustrate alcune situazioni “critiche” esemplificative delle tematiche oggetto del corso;
    gli studenti in gruppo elaborano, simulando un intervento professionale e/o consulenziale, una presentazione esplicativa nella quale, individuano gli istituti giuridici di riferimento e li applicano, esponendo, poi, l’analisi giuridica effettuata e le soluzioni proposte.
    - Presentazioni ed esposizione in aula: alcuni dei gruppi presentano in aula il lavoro svolto e sviluppano, con il coordinamento del docente, una discussione e un confronto fra le diverse ipotesi. Particolare enfasi viene dedicata alla coerenza fra contenuti esposti e abilità comunicative.
    III. Testimonianze applicative.
    Imprenditori, manager, rappresentanti istituzionali, docenti universitari, professionisti di consolidata esperienza, sono invitati a partecipare come relatori ospiti alla lezione, per approfondire, grazie alle loro esperienze professionali, specifici argomenti del corso e/o casi giurisprudenziali.
    IV. Studio individuale.
    Agli studenti sono suggeriti alcuni libri di testo e siti web giuridici, funzionali allo sviluppo di autonome capacità di apprendimento.
    V. Frequenza dell’insegnamento.
    La frequenza dell’insegnamento non è obbligatoria.

    Metodi di valutazione

    La prova di esame consiste in una prova orale da cui sia possibile per il docente valutare il grado di comprensione, assimilazione e applicazione degli istituti giuridici approfonditi sempre in ottica critica, nonchè di analisi individuale di un caso giurisprudenziale individuato dal docente in sede di esame e nel rispondere sia a domande ad esso relative (domande soglia - minimo ineludibile) sia a altre domande relative al programma. L’esame può essere superato solo nel caso in cui lo studente risponda in maniera sufficiente alle domande soglia con il voto minimo di 18 e il voto massimo di 30 e lode.
    In entrambi i casi i candidati dovranno dimostrare:
    a) il possesso di adeguate conoscenze e capacità di comprensione delle problematiche esposte o indicate, applicando in maniera pertinente le teorie e i modelli concettuali oggetto del programma;
    b) il possesso di adeguate conoscenze e capacità di elaborazione e comunicazione di soluzioni coerenti con le problematiche affrontate nel corso, applicando in maniera pertinente gli strumenti e i modelli concettuali oggetto del programma.
    Modalità di svolgimento dell’esame:
    orale.

    Altre informazioni

    Gli studenti sono seguiti individualmente nella preparazione dell’esame mediante l’attività di tutoraggio che si svolge durante l’intero anno accademico.
    Gli studenti Erasmus sono invitati ad incontri settimanali al fine di verificare la comprensione delle tematiche, incentivare la comparazione con gli analoghi istituti del Paese di origine, anche con il confronto con i colleghi, e perfezionare il linguaggio tecnico giuridico. Essi possono, a loro discrezione, sostenere la prova di verifica finale in lingua inglese.

    Prova finale
    La prova finale consiste nell’analisi individuale di uno degli istituti giuridici affrontati nell’insegnamento, i cui argomenti specifici sono concordati con il docente, sulla base delle preferenze espresse dallo studentedato/a. In particolare l’elaborato può consistere in:
    a. un case study oggetto di approfondimento durante il corso;
    b. un commento ad una sentenza di un giudice di merito o di legittimità di particolare interesse.

    Contents

    The course of Private Law is aimed at allowing students to learn the basic notions of private law and the institutions that govern relations between private individuals and between private and P.A. in cases where the latter acts as a private subject and without the exercise of authoritative powers that are its own.
    Knowledge of the fundamental institutes of Private Law is intended to enable the acquisition of the tools necessary to interpret the texts of law and understand the mechanisms that govern the legal reasoning. Particular attention will be paid to the law of obligations and contracts, which are crucial institutions in the training of both professionals with management functions in the public and private sectors and those who, wishing to continue their studies, wish to acquire skills for the performance of the activities of auditors, accountants and business professionals. Therefore, the role of the legal circulation and of the instruments mortis causa and inter vivos to which the legal system entrusts the production and exchange of goods and services is central.

    Textbook and course materials

    Students should only study the parts of the program that are indicated by the teacher at the beginning of the course.
    It's essential in the study and preparation of the exam consult an updated civil code that students are invited to bring into the classroom during the lessons.
    Additional case study materials will be distributed during the course.
    For students not attending the course there are no differences in program or texts. The above-mentioned additional material will be uploaded to the teacher's web page.
    Non-student students are invited to contact the teacher if they have any questions.
    For Erasmus students the text is recommended G. IUDICA e P. ZATTI, Language and Rules of Italian Private Law: An Introduction, Padova, Cedam.

    Course objectives

    - Knowledge and understanding of the legal vocabulary and elements characterising the main institutes of civil law
    - Ability to apply knowledge and understanding to the framing of conflicts of interest and the search for legally sound solutions
    Transversal capabilities
    - Autonomy of judgement: understood as the ability to connect theoretical notions - learned in class and through other teaching tools - to everyday reality, recognizing the role of legal rules in regulating civil coexistence and conflict resolution.
    - Communicative skills: we insist on the need to pay the utmost attention to the acquisition of technical-legal language and the correct use of the Italian language
    - Learning ability: it is necessary for the student to use all the didactic tools at his disposal - frontal lessons, manuals, normative texts, interviews with the teacher during the reception hours - in order to acquire a correct method of legal framing of the facts of real life.

    Prerequisites

    There are no propaedeuticity and no particular prerequisites

    Teaching methods

    The didactics are based on the following articulation:
    I. Frontal lessons (70 hours)
    - The lessons of 2 hours each are attended and articulated with the involvement of the students; the students, in fact, are invited to participate in the discussion with autonomy of judgment, expressing ideas, formulating questions, presenting examples. This method is to be preferred from the didactic point of view because it actively engages the student from the moment of participation in the frontal lesson, stimulating interaction and reflection.
    II. Exercises (20 hours)
    - Simulations, working groups and case studies: students are divided into groups and face a case study, in the form of a text delivered by the teacher, which illustrates some "critical" situations exemplifying the topics covered by the course;
    the students in group elaborate, simulating a professional and/or consulting intervention, an explanatory presentation in which they identify the legal institutions of reference and apply them, then exposing the legal analysis carried out and the solutions proposed.
    - Presentations and exposure in the classroom: some of the groups present their work in the classroom and develop, with the coordination of the teacher, a discussion and comparison between the different hypotheses. Particular emphasis is placed on the coherence between the content on display and communication skills.
    III. Application Testimonials.
    Entrepreneurs, managers, institutional representatives, university lecturers, and professionals with consolidated experience are invited to participate as guest speakers in the lesson, in order to deepen, thanks to their professional experience, specific topics of the course and/or case law.
    IV. Individual study.
    Students are suggested some textbooks and legal websites, functional to the development of autonomous learning skills.
    V. Frequency of teaching.
    The frequency of teaching is not compulsory.

    Evaluation methods

    The examination for students consists of an oral test from which it is possible for the teacher to assess the degree of understanding, assimilation and application of the legal institutions always in depth from a critical point of view, as well as individual analysis of a case identified by the case law of the teacher during the examination and in answering both questions relating to it (threshold questions - minimum unavoidable) and other questions relating to the program. The exam can only be passed if the student sufficiently answers the threshold questions with a minimum grade of 18 and a maximum grade of 30 cum laude.
    In both cases the candidates will have to prove:
    (a) have adequate knowledge and understanding of the issues raised or indicated, applying in a relevant manner the theories and conceptual models covered by the programme;
    (b) adequate knowledge and ability to develop and communicate solutions consistent with the issues addressed during the course, applying in a relevant manner the tools and conceptual models covered by the programme.
    Arrangements for the examination:
    oral

    Other information

    Students are assisted individually in the preparation of the exam through the tutoring activity that takes place throughout the academic year.
    Erasmus students are invited to weekly meetings in order to verify the understanding of the issues, encourage comparison with similar institutions in the country of origin, even with the comparison with colleagues, and improve the technical and legal language. They may, at their discretion, take the final test in English.
    Final test
    The final test consists of an individual analysis of one of the legal institutions addressed in the teaching, whose specific subjects are agreed with the teacher, based on the preferences expressed by the student. In particular, the paper may consist of
    a. a case study that will be studied in depth during the course;
    b. a commentary on a judgment of a judge of merit or legitimacy of particular interest.
