| Contenuti | Il Corso ha l’obiettivo di fornire agli studenti i concetti, i modelli teorici e gli strumenti di gestione manageriale necessari per assumere e valutare le decisioni d’impresa nell’ambito delle operazioni di Mergers & Acquisitions (M&A). |

| Obiettivi formativi | Grazie all’equilibrato mix di teoria e applicazioni pratiche, il Corso intende favorire negli studenti lo sviluppo del sapere e delle capacità di comprensione delle dinamiche in atto della specifica disciplina in coerenza con gli obiettivi formativi del CdS di riferimento (applying knowledge and understanding). |

| Metodi di valutazione | Per gli studenti che decidono di seguire il Corso, la valutazione sarà basata sui risultati del project work e su una prova orale avente ad oggetto i temi trattati durante il corso. |

| Contents | The aim of the course is to illustrate the main strategic issues of the mergers and acquisitions. Besides, the main methods to evaluate these transactions are exposed. |

| Course objectives | Thanks to the balanced mix of theory and practical applications, the Course intends to favor in the three-year degree students the development of knowledge and ability to understand the dynamics in progress of the specific discipline in line with the educational objectives of the degree program (applying knowledge and understanding). |
| Prerequisites | Students must know the main business theories and entrepreneurial behaviors and must know how to apply the models on which the management of enterprises is based (managerial and operational). |
| Teaching methods | The teaching Course's combines a deep theoretical approach based on frontal and interactive lectures with Seminars and Testimonials with top executives and entrepreneurs. Students are invited to participate as guest speakers to address specific questions of the Course and/or submitting business case histories. Such meetings, possibly enriched by didactic material and support, made available on the teacher's website, aim to foster critical thinking and reasoning ideas among students. Also provided are simulations, project works and classroom presentations, which illustrates, through case-studies, the critical aspects and peculiarities of the issues with respect to the subject of the course reference discipline. |
| Evaluation methods | For attending students assessment will be based on group coursework and on an oral exam. |

| Course Syllabus | Topics include: M&A Activity, mergers waves, mergers objectives and relative wealth creation problems. The relationship between means of payment and financial structure relative to M&A transactions. Bidder return, debt and liquidity, economic cycle, target status. |
