    Contenuti

    Il corso di Diritto Privato è volto a consentire agli studenti l’apprendimento delle nozioni di base e dei principali istituti che regolano i rapporti tra i privati. La conoscenza degli istituti fondamentali del Diritto Privato ha il fine di consentire l'acquisizione degli strumenti necessari per interpretare i testi di legge e comprendere i meccanismi che governano il ragionamento giuridico. Particolare attenzione sarà posta al diritto delle obbligazioni e dei contratti, determinanti nella formazione sia del professionista con funzioni di gestione nell’ambito privato sia di coloro che, volendo proseguire gli studi, intendano acquisire competenze per lo svolgimento dell'attività di revisori contabili, dottori commercialisti e professionisti di impresa. Centrale, quindi, il ruolo della circolazione giuridica e degli strumenti mortis causa e inter vivos ai quali l'ordinamento affida la produzione e lo scambio di beni e servizi.

    Obiettivi formativi

    Obiettivi formativi - Conoscenza e comprensione del lessico giuridico e degli elementi caratterizzanti i principali istituti del diritto civile - Capacità di applicare conoscenza e comprensione all’inquadramento dei conflitti di interesse e alla ricerca di soluzioni giuridicamente fondate Capacità trasversali - Autonomia di giudizio: intesa come capacità di collegare le nozioni teoriche − apprese a lezione e per mezzo degli altri strumenti didattici – alla realtà quotidiana, riconoscendo il ruolo delle regole giuridiche nel disciplinare la convivenza civile e la soluzione dei conflitti - Abilità comunicative: si insiste sulla necessità di porre la massima attenzione sull’acquisizione del linguaggio tecnico-giuridico e sull’utilizzo corretto della lingua italiana - Capacità di apprendimento: è necessario che lo studente utilizzi tutti gli strumenti didattici messi a sua disposizione – lezioni frontali, manualistica, testi normativi, colloqui con il docente negli orari di ricevimento – al fine di acquisire una corretta metodica di inquadramento giuridico dei fatti della vita reale.

    Non sono previste propedeuticità, né particolari prerequisiti.

    Metodi didattici

    La didattica si basa sulla seguente articolazione: I. Lezioni frontali (70 ore) - Le lezioni di 2 ore ciascuna sono articolate con il coinvolgimento degli studenti; gli studenti, infatti, sono invitati a partecipare alla discussione con autonomia di giudizio, esprimendo idee, formulando domande, presentando esempi. La suddetta modalità è da preferirsi dal punto di vista didattico perché impegna lo studente attivamente sin dalla partecipazione alla lezione frontale, stimolando l’interazione e la riflessione. II. Esercitazioni (20 ore) - Simulazioni, gruppi di lavoro e case study: gli studenti sono divisi in gruppi e affrontano un case study, sotto forma di testo consegnato dal docente, nel quale sono illustrate alcune situazioni “critiche” esemplificative delle tematiche oggetto del corso; gli studenti in gruppo elaborano, simulando un intervento professionale e/o consulenziale, una presentazione esplicativa nella quale, individuano gli istituti giuridici di riferimento e li applicano, esponendo, poi, l’analisi giuridica effettuata e le soluzioni proposte. - Presentazioni ed esposizione in aula: alcuni dei gruppi presentano in aula il lavoro svolto e sviluppano, con il coordinamento del docente, una discussione e un confronto fra le diverse ipotesi. Particolare enfasi viene dedicata alla coerenza fra contenuti esposti e abilità comunicative. III. Testimonianze applicative. Imprenditori, manager, rappresentanti istituzionali, docenti universitari, professionisti di consolidata esperienza, sono invitati a partecipare come relatori ospiti alla lezione, per approfondire, grazie alle loro esperienze professionali, specifici argomenti del corso e/o casi giurisprudenziali. IV. Studio individuale. Agli studenti sono suggeriti alcuni libri di testo e siti web giuridici, funzionali allo sviluppo di autonome capacità di apprendimento. V. Frequenza dell’insegnamento. La frequenza dell’insegnamento è obbligatoria.

    Modalità di verifica dell'apprendimento

    Il processo di valutazione per gli studenti che frequentano il corso di Diritto privato sarà articolato nel modo seguente:
    per l’a.a. 2025-2026 nel mese di novembre, a seguito della programmazione ad opera del Dipartimento delle “verifiche di apprendimento”, lo studente/studentessa potrà sostenere una prova orale sui temi proposti e discussi durante le lezioni tenute sino a quel momento. I risultati della prova orale, espressi in trentesimi, saranno comunicati al termine dello svolgimento della medesima. Nella seconda parte del corso gli studenti svolgeranno l’analisi individuale di un caso giurisprudenziale individuato dal docente in sede di esame, rispondendo a domande relative ad esso e al programma (domande soglia - minimo ineludibile). L’esame può essere superato solo nel caso in cui lo studente risponda in maniera sufficiente alle domande soglia, in cui peserà il 50% la prima prova, il 50% la seconda valutazione con il voto minimo di 18 e il voto massimo di 30 e lode.
    Il processo di valutazione per gli studenti non frequentanti sarà articolato nel modo seguente:
    la prova di esame consisterà in una prova orale da cui sia possibile per il docente valutare il grado di comprensione, assimilazione e applicazione degli istituti giuridici approfonditi in ottica critica, nonchè nell’analisi individuale di un caso giurisprudenziale scelto dal docente in sede di esame, rispondendo a domande relative ad esso (domande soglia - minimo ineludibile) e ad altre relative al programma. L’esame può essere superato solo nel caso in cui lo studente risponda in maniera sufficiente alle domande soglia con il voto minimo di 18 e il voto massimo di 30 e lode.
    In entrambi i casi i candidati dovranno dimostrare: a) il possesso di adeguate conoscenze e capacità di comprensione delle problematiche esposte o indicate, applicando in maniera pertinente le teorie e i modelli concettuali oggetto del programma; b) il possesso di adeguate conoscenze e capacità di elaborazione e comunicazione di soluzioni coerenti con le problematiche affrontate nel corso, applicando in maniera pertinente gli strumenti e i modelli concettuali oggetto del programma. Modalità di svolgimento dell’esame: orale.

    Gli studenti sono seguiti nella preparazione dell’esame mediante l’attività di tutoraggio che si svolge durante l’intero anno accademico. Gli studenti Erasmus sono invitati ad incontri settimanali al fine di verificare la comprensione delle tematiche, incentivare la comparazione con gli analoghi istituti del Paese di origine, anche con il confronto con i colleghi, e perfezionare il linguaggio tecnico giuridico. Essi possono, a loro discrezione, sostenere la prova di verifica finale in lingua inglese.

    Seguendo la sistematica del codice civile, il corso è così articolato: Nozioni introduttive e principi fondamentali. Le fonti del diritto privato. I principi. Metodo giuridico ed interpretazione. L’applicazione del diritto nel tempo e nello spazio (1 CFU). Il primo libro del codice civile Le persone fisiche (capacità giuridica e d’agire; la tutela degli incapaci; i diritti della personalità). Le persone giuridiche senza scopo di lucro (fondazioni, associazioni, comitati). La famiglia (matrimonio, rapporti personali e patrimoniali fra coniugi; separazione e divorzio; rapporti di filiazione) (2 CFU). Il secondo libro del codice civile Le successioni mortis causa e le liberalità tra vivi (1 CFU). Il terzo libro del codice civile I beni, la proprietà e gli altri diritti sulle cose, il possesso (2 CFU). Il quarto libro del codice civile Le obbligazioni e le loro fonti con particolare riguardo: - alla disciplina del contratto in generale (formazione, requisiti, tipicità e atipicità, validità, invalidità), nonché a quella dei principali tipi contrattuali - alle tutela del consumatore - alle regole della responsabilità civile - alla disciplina delle promesse unilaterali e dei titoli di credito, dell’indebito, della gestione di affari, dell’arricchimento senza causa (2 CFU).     The Private Law course is designed to enable students to learn the basics and the main institutes governing relations between private individuals. Knowledge of the fundamental institutes of Private Law is intended to enable the acquisition of the necessary tools for interpreting legal texts and understanding the mechanisms governing legal reasoning. Particular attention will be paid to the law of obligations and contracts, which are decisive in the training of both professionals with management functions in the private sector and those who, wishing to continue their studies, intend to acquire skills for working as auditors, chartered accountants and business professionals. Central, therefore, is the role of legal circulation and the mortis causa and inter vivos instruments to which the legal system entrusts the production and exchange of goods and services.

    Course objectives

    - Knowledge and understanding of the legal vocabulary and elements characterising the main institutes of civil law - Ability to apply knowledge and understanding to the framing of conflicts of interest and the search for legally sound solutions Transversal skills - Autonomy of judgement: understood as the ability to link theoretical notions - learnt in lectures and through other didactic tools - to everyday reality, recognising the role of legal rules in regulating civil coexistence and conflict resolution - Communication skills: emphasis is to be placed on the acquisition of technical-legal language and the correct use of the Italian language - Learning ability: it is necessary for the student to use all the didactic tools made available to him/her - frontal lessons, manuals, normative texts, talks with the lecturer during office hours - in order to acquire a correct method of legal framing of real-life facts.

    Prerequisites

    There are no prerequisites or particular prerequisites.

    Teaching methods

    Teaching is based on the following articulation: I. Lectures (70 hours) - Lectures of 2 hours each are articulated with the involvement of students; in fact, students are invited to participate in the discussion with autonomy of judgement, expressing ideas, formulating questions, presenting examples. The aforementioned modality is preferable from a didactic point of view because it actively engages the student from the moment of participation in the frontal lesson, stimulating interaction and reflection. II. Exercises (20 hours) - Simulations, working groups and case studies: students are divided into groups and face a case study, in the form of a text delivered by the lecturer, in which a number of "critical" situations illustrative of the topics covered by the course are illustrated; students in groups prepare, by simulating a professional and/or consultancy intervention, an explanatory presentation in which, they identify the reference legal institutions and apply them, then presenting the legal analysis carried out and the solutions proposed. - Classroom presentation and exposition: some of the groups present their work in the classroom and develop, under the coordination of the lecturer, a discussion and comparison of the various hypotheses. Particular emphasis is placed on coherence between the content presented and communication skills. III. Application testimonials. Entrepreneurs, managers, institutional representatives, university professors, and experienced professionals are invited to participate as guest speakers in the lecture, in order to deepen, thanks to their professional experience, specific course topics and/or case law cases. IV. Individual study. Students are recommended a number of textbooks and legal websites, which are instrumental in the development of autonomous learning skills. V. Frequency of teaching. Attendance at the course, as in the entire IV programme, is compulsory.

    Assessment methods

    The assessment process for students attending the Private Law course will be structured as follows:
    for the academic year 2025-2026, in November, following the Department's planning of “learning assessments”, students will be able to take an oral exam on the topics proposed and discussed during the lectures held up to that point. The results of the oral exam, expressed in thirtieths, will be communicated at the end of the exam. In the second part of the course, students will carry out an individual analysis of a case law identified by the lecturer during the exam, answering questions related to it and to the programme (threshold questions - minimum requirement). The exam can only be passed if the student answers the threshold questions satisfactorily, with the first test accounting for 50% and the second assessment for 50%, with a minimum mark of 18 and a maximum mark of 30 with honours.
    The assessment process for non-attending students will be structured as follows:
    the examination will consist of an oral test in which the lecturer will assess the student's level of understanding, assimilation and application of the legal concepts studied in depth from a critical perspective, as well as an individual analysis of a case law selected by the lecturer during the examination, answering questions related to it (threshold questions - minimum required) and others related to the programme. The exam can only be passed if the student answers the threshold questions satisfactorily, with a minimum mark of 18 and a maximum mark of 30 with honours.
    In both cases, candidates must demonstrate: a) adequate knowledge and understanding of the issues presented or indicated, applying the theories and conceptual models covered in the programme in a relevant manner; b) adequate knowledge and ability to develop and communicate solutions consistent with the issues addressed in the course, applying the tools and conceptual models covered in the programme in a relevant manner. Examination method: oral.

    Other information

    Students are supported individually in their examination preparation through tutoring activities that take place throughout the academic year. Erasmus students are invited to weekly meetings in order to check their understanding of the topics, to encourage comparison with similar institutions in their home country, also by comparison with colleagues, and to perfect their technical legal language. They may, at their discretion, take the final examination in English. Final examination The final examination consists of an individual analysis of one of the legal institutions covered in the course, the specific topics of which are agreed with the lecturer, on the basis of the preferences expressed by the student. In particular, the paper may consist of: a. a case study that is the subject of in-depth study during the course b. a commentary on a judgment of a judge of merit or legitimacy of particular interest.

    Following the systematics of the Civil Code, the course is structured as follows: Introductory notions and fundamental principles. The sources of private law. Principles. Legal method and interpretation. The application of law in time and space (1 CFU). The first book of the Civil Code Natural persons (legal capacity and capacity to act; the protection of incapacitated persons; personality rights). Non-profit legal persons (foundations, associations, committees). The family (marriage, personal and property relations between spouses; separation and divorce; filiation relations) (2 CFU). The second book of the Civil Code Mortis causa successions and donations between living persons (1 CFU). The third book of the civil code Goods, property and other rights on things, possession (2 CFU). The Fourth Book of the Civil Code Obligations and their sources with particular regard to - the regulation of contracts in general (formation, requirements, typicality and atypicality, validity, invalidity), as well as that of the main types of contracts - consumer protection - the rules on civil liability - the regulation of unilateral promises and securities, undue payment, business management, unjust enrichment (2 CFU).
