Contenuti | L'insegnamento è focalizzato sulle teorie che spiegano i costi e i benefici dell’integrazione verticale da una prospettiva neo-istituzionalista. A partire dall’articolo di Coase (The nature of the firm, 1937) il corso prende in esame l’economia dei costi di transazione, le teorie della ricerca delle rendite, i modelli dell’impresa basati sulla teoria dell’agenzia, la teoria dei diritti di proprietà, il ruolo della fiducia e della reputazione nelle transazioni economiche, i costi delle burocrazie e gli incentivi, l’organizzazione all’interno delle imprese. |

Obiettivi formativi | L’obiettivo dell'insegnamento è fornire i concetti di base e gli strumenti necessari all’analisi della struttura di governance ottimale dell’impresa. Gli studenti saranno guidati verso le teorie, i modelli e i concetti che posso aiutarli a comprendere il quesito del make or buy e l’organizzazione interna delle imprese relativamente al problema noto in letteratura come relazione principale-agente. Il corso offrirà agli studenti l’opportunità di far leva su alcune teorie e modelli per sviluppare una propria visione e delle proprie opinioni circa i contenuti dell’insegnamento di Teoria dell’Impresa. |

Metodologie didattiche | La didattica si basa sulla seguente articolazione: Lezioni frontali su tutti gli argomenti del corso. Discussioni con coinvolgimento degli studenti. Eventuali seminari. |
Metodi di valutazione | Gli studenti saranno valutati singolarmente, sia in base a compiti individuali che di gruppo. L’esame finale sarà scritto e il voto dipenderà da: un’attiva partecipazione in aula, elaborati svolti (project work di gruppo), presentazione in aula (presentazione dei project work) e un esame scritto (individuale). Oggetto d’esame sarà il programma sopra riportato, le lezioni frontali ed eventuali seminari. |

Contents | The teaching focuses on the theories that explain the costs and benefits of vertical integration from a neo-institutionalist perspective. Starting from the article of Coase (The nature of the firm, 1937) the course examines the transaction costs, the theories of rent seeking, the models based on agency theory, the theory of property rights, the role of trust and reputation in economic transactions, bureaucracy costs and incentives, and, finally, the organization within companies. |

Course objectives | The objective of the course is to provide the basic concepts and tools necessary for the analysis of the optimal governance structure of companies. Students will be driven towards the theories, models and concepts that can help them understand the question of ‘make or buy’ and the internal organization of companies relative to the problem known in literature as the principal-agent relationship. The course will offer students the opportunity to study some theories and models in order to develop their own vision and opinions about the contents of the teaching of Business Theory. |

Teaching methods | The teaching is articulated as following: Lectures on all the topics of the course. Debates with student involvement. Any seminars. |
Evaluation methods | Students will be assessed individually, on the basis of both individual and group tasks. The final exam will be written and final assessment will depend on: active participation in the classroom, project work group, presentation of the project work and a written exam (individual). The object of the examination will be the above program, the lectures and any seminars. |
