Contenuti | Il programma dell’insegnamento ha ad oggetto i seguenti contenuti: la disciplina costituzionale ed europea della tutela del risparmio. Gli strumenti giuridici di tutela degli investitori finanziari, danneggiati dalla violazione di regole di condotta da parte dei soggetti operanti nel settore finanziario: in particolare sia l'azione individuale, sia le azioni collettive, inibitoria, attivata dalle associazioni di investitori, e risarcitoria. Modalità di risoluzione stragiudiziale delle controversie: l’Arbitro bancario finanziario ed il nuovo Arbitro per le controversie finanziarie. Si analizzano tematiche specifiche, quali la responsabilità civile da prospetto informativo dei soggetti coinvolti nell’emissione di strumenti finanziari; la responsabilità civile da prospetto informativo della Consob. |

Obiettivi formativi | A) L’insegnamento intende trasferire le conoscenze di base necessarie per: l’acquisizione della padronanza del linguaggio tecnico della materia; la comprensione dei due principali obiettivi della regolamentazione dei mercati finanziari: la tutela degli investitori e l’efficienza e la salvaguardia dell'integrità del mercato; la conoscenza del sistema delle fonti (europee e nazionali) di produzione delle norme giuridiche del settore finanziario, bancario; la comprensione del rilevante ruolo di “regolazione” e di vigilanza dei mercati, ad opera delle autorità amministrative indipendenti nazionali, |

Contents | The teaching programme covers the following contents: the constitutional and European regulations on the protection of savings. The legal instruments for the protection of financial investors, damaged by the violation of rules of conduct by entities operating in the financial sector: in particular, both individual and collective actions, injunctive relief, activated by investor associations, and compensatory relief. Out-of-court settlement of disputes: the Banking Finance Arbitrator and the new Financial Disputes Arbitrator. Specific issues are analysed, such as the prospectus liability of persons involved in the issuance of securities; Consob's prospectus liability. |

Course objectives | A) The course aims at transferring the basic knowledge necessary for: the acquisition of a mastery of the technical language of the subject; the understanding of the two main objectives of financial market regulation: the protection of investors and the efficiency and protection of market integrity; the knowledge of the system of sources (European and national) for the production of legal rules in the financial, banking sector; the understanding of the relevant role of "regulation" and supervision of the markets, by the national independent administrative authorities, in the financial and banking sectors; knowledge of the main procedural instruments for the protection of investors in financial instruments, provided at national and European level. |
